Terms and Conditions Please read this carefully By accessing this iPAQ Pocket PC Solution site or by submitting for consideration and inclusion into HP's solution catalog your iPAQ Pocket PC solution or application, you, the Developer ("you" or "Developer"), agree with HP that Developer is bound by the terms and condition set forth below. Terms of this agreement include all terms and conditions for the use of any HP Internet site, the HP privacy policy and all terms regarding copyright and trademark matters. "HP" means entities controlled by, under common control with or controlling Hewlett-Packard Company, including without limitation Compaq Computer Corporation, a wholly owned subsidiary of HP in the United States. Submission and Use of Solutions. All submissions for inclusion in the solution catalog will be reviewed for clarity and suitability solely and for no other purpose. HP does not test submissions for compatibility or usability and makes no representations with regard to a solution's compatibility with the iPAQ Pocket PC. Developer is responsible for evaluating, testing and reviewing all content included with your solution and your solution itself. Submittal of solution information to this Internet site does not constitute a binding agreement that your solution will be included in the solution catalog. The decision to include submissions is at the complete discretion of the HP review team. HP may terminate developer's rights under this agreement and remove from the solutions catalog any submitted solution in its sole discretion at any time without prior notice to developer. Third Party Solutions and Content. HP is a distributor and not a publisher of the solutions supplied by you or any other third parties and has no more editorial or technical control over those solutions than a public library or newsstand. HP is not responsible for any opinions, advice, statements, services or other information that constitutes or is included with the solution provided by you or any other third parties On Line Conduct. Any conduct by a Developer that in HP's sole discretion restricts or inhibits any other Developer or site user from using or enjoying this Internet site will not be permitted. You will use this Internet site only for lawful purposes. You may not post on or transmit through this Internet site any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable material of any kind, including any material that encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate applicable laws. Disclaimer of Warranties. DEVELOPER AND ANY SOLUTION USER ACKNOWLEDGE THAT THE SOLUTIONS INCLUDED IN THE SOLUTION CATALOG AND ANY SUBMITTED SOLUTION HAVE NOT COMPLETED HP'S FULL QUALITY ASSURANCE PROGRAM AND MAY HAVE ERRORS OR DEFECTS. SOLUTION USER ACCEPTS THE SOLUTION "AS IS". HP MAKES NO EXPRESS OR IMPLIED WARRANTY OF ANY KIND WITH RESPECT TO THE SOLUTIONS OR THE SOLUTIONS CATALOG, AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Non-Exclusive Relationship. This agreement is not intended to, nor does it create, any agency, partnership, joint venture or other profit-sharing arrangement, landlord-tenant, or lessor-lessee relationship, or any other relationship than HP-Developer, nor does it create an exclusive relationship between the parties except to the extent specifically provided for in this agreement. Nothing contained in this agreement will be deemed to be a restriction of any type on either party's ability to freely compete or to enter into "partnering" relationships with other entities or individuals. Developer is not authorized to act on behalf of HP or as a representative of HP, and Developer shall not have any authority to assume or create any obligation on behalf of, in the name of, or binding upon HP, nor to represent HP in any manner. Developer and Developer's personnel are independent contractors for all purposes and at all times. Developer has the responsibility for, and control over, the methods and details of performing and providing the solution. HP will incur no obligation to Developer or any of Developer's employees or any other person or entity utilized by Developer to develop the solution submitted under this agreement. DEVELOPER REPRESENTS THAT IT HAS CONDUCTED AN INDEPENDENT INVESTIGATION OF THE SOLUTION THAT WILL BE SUBMITTED PURSUANT TO THIS AGREEMENT AND THAT DEVELOPER IS SOLELY RESPONSIBLE FOR ITS SOLUTION. DEVELOPER RECOGNIZES THAT ITS SOLUTION'S POSSIBLE ENTRY INTO THE SOLUTION CATALOG MAY INVOLVE RISKS AND THAT DEVELOPER'S SUCCESS AND DEVELOPER'S SOLUTION'S SUCCESS WILL DEPEND PRIMARILY UPON ITS ABILITIES AND EFFORTS. AND NOT RESULT FROM ANY ACTION OR INACTION BY HP. DEVELOPER EXPRESSLY DENIES AND DISCLAIMS THE MAKING OF, AND DEVELOPER ACKNOWLEDGES THAT IT HAS NOT RECEIVED OR RELIED UPON, ANY GUARANTEE, REPRESENTATION, EXPRESS OR IMPLIED, AS TO ANY FINANCIAL OR BUSINESS OPPORTUNITY THAT MAY RESULT FROM THIS AGREEMENT. Use of Submitted Materials. HP will use the submitted information as part of a solution catalog intended to be provided on-line as a service to its customers and Internet site visitors. The solution catalog site and the solution catalog may be referenced in any HP communications, worldwide, relating to the iPAQ Pocket PC, including communications with customers, analysts and press. If additional usage is desired, an HP representative will contact the submitted contact to discuss such purposes and obtain any additional information required.
